Executive Benefits & Employee Compensation Associate (Mid-Senior Level)
We are seeking a highly skilled Executive Benefits & Employee Compensation Associate at a mid-senior level for a prestigious position in New York, NY. This opportunity offers a competitive base salary ranging from $225,000 to $460,000, subject to eligibility for clerkship bonus and adjustments based on the prevailing 2026 New York market scale. Position Overview:
This full-time, direct-hire position requires a minimum of 1,850 annual billed hours. As a part of the 2026 Associate Class, you will employ your judicial insights to expertly advise on the intersection of tax law, securities regulation, and labor dynamics, delivering strategic counsel to a diverse global clientele.
Key Responsibilities:
- Provide expert advice on executive compensation within the framework of large-scale mergers, acquisitions, and IPOs.
- Draft and negotiate complex employment agreements, equity-based incentives, and severance arrangements.
- Analyze sections 409A, 280G, and 162(m) of the Internal Revenue Code to optimize tax strategies for remuneration.
- Collaborate with litigation and transactional teams on ERISA fiduciary duties and employee benefit plan compliance.
- Conduct in-depth legal research and draft high-level memoranda on corporate governance and regulatory standards.
Qualifications:
- Juris Doctor (J.D.) from a top-tier, ABA-accredited law school with outstanding academic achievements.
- Completion of, or current engagement in, a prestigious Federal or State Supreme Court clerkship concluding in 2026.
- Active Bar Membership in the State of New York, or eligibility for swift admission via reciprocity or examination.
- Proven superior writing and analytical skills, demonstrated during judicial clerkship.
- Commitment to a career in high-end transactional or specialized regulatory law.
Preferred Skills:
- Experience or interest in corporate tax, securities law, or employment litigation.
- Advanced coursework or an L.L.M. in Taxation or Corporate Law.
- Ability to manage complex projects with discretion and attention to detail.
- Exceptional interpersonal skills for articulating legal concepts to C-suite executives and boards.
