Position SummaryRising Phoenix Holdings Corporation (“RPHC”) has an opportunity for a Junior Level Attorney to join our team as an in-house general counsel.

The Junior Associate General Counsel will have a minimum of 3 years of legal experience, or a combination of legal and government and/or disaster recovery experience, with the ability to work on a team advising RPHC and its family of companies’ corporate and operational teams on all legal issues. We are looking for a candidate with experience in corporate matters, in areas such as corporate governance, contracts, compliance, and procurement. Basic knowledge of, or interest in, labor and employment law is preferred. Prior in-house experience working in a corporate setting or governmental agency is preferred, but not required, as more particularly set forth below.

The ideal candidate must enjoy working in a collaborative, fast paced, team environment.

 

Job Duties and Responsibilities include:

  • Provide legal advice directly to corporate departments, and the operations team on a variety of legal issues including, but not limited to contract law, procurement, FOIA laws, commercial law, financial transactions, corporate governance and employment law etc.;
  • Draft, review, evaluate, summarize, revise and negotiate project and corporate contracts, including, but not limited to confidentiality and non-disclosure agreements, teaming agreements, professional consulting services agreement, subcontracts, tasks orders, leases, vendor agreements, terms and conditions of purchase, statements of work and other commercial documents in multiple practice areas;
  • Manage the contract review and negotiation process;
  • Manage and minimize contract and business operations risks;
  • Ensure contract terms are consistent with the company’s policies and objectives, applicable state, local and federal regulations, and in the case of subcontracts, the terms and conditions of a prime agreement;
  • Work effectively with in-house attorney and outside counsel, paralegals, various departments including Finance and the Project Management Office, Executive Leadership and the business units to develop legal strategies, policies, procedures and objectives;
  • Work effectively with our operations team, including the Business Unit Leader, Directors and Project Managers to ensure that projects are implemented and completed in compliance with contract requirements and applicable federal, state and local laws and regulations;
  • Take lead in reviewing best practices for improving legal processes;
  • Review Requests for Proposals and other procurement documents to identify legal issues and risks;
  • Interpret contract provisions and provide legal opinions; and
  • Draft, review or revise policies and procedures, correspondence, and legal notices.

 

Skills and Competencies:

  • Proven ability in legal research, analysis and drafting.
  • Ability to make recommendations to effectively resolve problems or issues, using judgment consistent with standards, practices, policies, procedures, and regulations.
  • Strong organizational skills; ability to suggest ways to improve processes.
  • Excellent, demonstrated verbal and written communication skills; able to translate thoughts and ideas into written product.
  • Strong organizational and quantitative skills, as well as demonstrated ability to prioritize work and manage projects independently.
  • Ability to focus on multiple deadlines and change as the demands and fast pace requires.
  • Comfortable working in a dynamic and changing environment.
  • Applicant must be able to communicate, read and write in Spanish and English.
  • Proficiency in MS Office suite required (Word, Excel, PowerPoint and Outlook).

 

Required Education and Experience:

·       Applicant must be licensed, active and in good standing with the Commonwealth of Puerto Rico Bar. Preference will be given to applicants who are also admitted to a U.S State Bar.

  • Minimum of three (3) years of legal experience. Preference will be given to previous experience involving in-house legal work, contracts, procurement, corporate governance, governmental agencies, federal and state procurement rules and regulations, emergency disaster recovery projects, housing community and infrastructure programs, and state and federal FOIA laws.
  • In lieu of three (3) years of legal experience, we will consider applicants with entry level legal experience, but a minimum of five (5) years of experience working with a governmental agency or a preparedness, grant management, and disaster recovery firm on the areas outlined in section 2 above.
  • Experience with labor and employment legal issues is a plus, but not a requirement.
