Compensation: Base Salary range of $365,000 to $420,000, with potential adjustments based on location and seniority. Includes an excellent benefits package and performance-based incentives.

Schedule: Full-time, Direct-Hire, with a minimum requirement of 1,850 hours annually billed.

We are seeking a seasoned legal professional to join a leading finance division, specializing in Leveraged Credit and Private Finance. This role is ideal for an attorney with a keen understanding of the global credit markets, ready to tackle complex financial transactions within a high-performance culture that fosters long-term professional growth and client engagement.

Key Responsibilities:

  • Lead the legal structuring of sponsor-backed acquisition financings, including international and multi-currency deals.
  • Draft and negotiate documentation for unitranche, senior-stretch, and first-out/last-out credit facilities.
  • Oversee the entire spectrum of syndicated debt offerings and asset-based lending across various industries.
  • Provide counsel on liability management transactions, such as uptier exchanges and covenant resets.
  • Advise on subordinated debt, mezzanine finance, and structured preferred equity co-investments.
  • Navigate complex refinancings, recapitalizations, and amend-and-extend transactions for portfolio companies.

Qualifications:

  • Juris Doctor from an ABA-accredited institution with an exemplary academic record.
  • Active Bar membership in good standing in one of the following states: New York, Florida, Massachusetts, Illinois, Georgia, North Carolina, or Texas.
  • Five to seven years of substantive leveraged finance or private credit experience at a top-tier national or international law firm.
  • Proven success in independently managing complex debt transactions from inception to close.
  • Exceptional skills in drafting credit agreements and intercreditor arrangements.

Preferred Skills:

  • Experience in a high-pressure "New York style" BigLaw finance setting.
  • In-depth knowledge of sponsor-backed finance market terms and evolving liability management strategies.
  • Excellent commercial acumen with the ability to convey complex legal risks as business solutions.
  • Advanced communication and relationship management skills, particularly with C-suite clients and opposing counsel.
  • Proactive leadership qualities with the capability to mentor junior team members and manage diverse workstreams.
