Actively seeking an experienced Partner or Counsel-level M&A Tax Attorney to join its growing Tax and Corporate practices. This is an exceptional opportunity for a senior attorney who advises private equity sponsors, strategic acquirers, investors, and middle-market companies on the tax aspects of complex transactions and is seeking a platform that supports practice growth and client development.
Position Overview
The successful candidate will serve as a trusted advisor on the tax structuring, negotiation, and execution of mergers, acquisitions, divestitures, joint ventures, private equity transactions, recapitalizations, and other strategic corporate transactions.
The ideal candidate will possess substantial transactional tax experience, strong client relationships, and a demonstrated ability to originate and expand business. Attorneys with an existing portable book of business are strongly preferred.
Key Responsibilities
- Advise clients on federal, state, and local tax implications of:
- Mergers and acquisitions
- Asset and stock acquisitions
- Private equity transactions
- Joint ventures and strategic alliances
- Corporate restructurings and recapitalizations
- Cross-border transactions
- Structure transactions to maximize tax efficiency and minimize risk.
- Draft and negotiate tax provisions in acquisition agreements and related transaction documents.
- Conduct tax due diligence and advise on identified tax exposures.
- Counsel clients regarding partnership, corporate, and LLC taxation matters.
- Collaborate closely with Corporate, Private Equity, Real Estate, Trusts & Estates, and International Tax attorneys across the firm.
- Develop and expand client relationships while contributing to firm-wide business development initiatives.
- Mentor and supervise associates and junior attorneys as appropriate.
QUALIFICATIONS
Partner Candidates
- J.D. from an accredited law school.
- Active California Bar membership or ability to waive in.
- 10+ years of sophisticated transactional tax experience.
- Significant experience advising on M&A and private equity transactions.
- Demonstrated client development success.
- Portable book of business preferred.
- Strong reputation in the marketplace and referral network.

- 8+ years of transactional tax experience.
