Join a leading law firm as a Fund Formation Paralegal, supporting attorneys and senior paralegals on sophisticated venture fund and emerging company matters. This role is well suited for a detail-oriented legal professional with 1–3 years of fund formation experience.

 

What You’ll Do

• Assist with all facets of venture fund and emerging company work
• Prepare and maintain organizational documents
• Assist with partnership and LLC agreements
• Prepare side letters and other fund-related agreements
• Conduct investor suitability and document due diligence
• Research applicable federal and state securities regulations
• Prepare and file required notices
• Assist with fund formation opinions and backup documentation
• Support SEC compliance reporting
• Maintain accurate time records and complete administrative tasks

What You’ll Bring

• 1–3 years of fund formation experience
• Bachelor’s Degree
• Strong organizational and prioritization skills
• Excellent written and verbal communication
• Strong proofreading and attention to detail
• Ability to meet deadlines in a fast-paced environment
• Ability to work effectively with attorneys, clients, and team members
• Strong initiative, professionalism, and reliability
• Paralegal Certificate preferred
