Senior Fund Formation Paralegal

Join a leading law firm as a Senior Fund Formation Paralegal, supporting attorneys and senior paralegals on sophisticated emerging company and venture fund matters. This role is ideal for an experienced paralegal with strong fund formation knowledge and excellent organizational skills.
What You’ll Do
- Support all facets of emerging company and venture fund work
- Prepare and maintain organizational documents
- Prepare partnership and LLC agreements
- Draft side letters, transfer agreements, admission agreements, and amendments
- Conduct investor suitability and document due diligence
- Research federal and state securities regulations
- Prepare and file required notices
- Assist with fund formation opinions and supporting documentation
- Handle SEC compliance reporting for venture fund clients
- Manage administrative requirements and deadlines
What You’ll Bring
- 5+ years of paralegal experience, preferably in fund formation
- Bachelor’s Degree
- Strong knowledge of fund formation and venture fund matters
- Excellent written, communication, proofreading, and organizational skills
- Ability to manage multiple priorities and deadlines
- Ability to work independently and collaboratively
- Strong attention to detail and professionalism
- Proficiency with Microsoft Office and legal technology platforms
- Paralegal Certificate preferred
