Corporate Paralegal

 

A leading Am Law firm is seeking an experienced Corporate Paralegal to support attorneys and clients on sophisticated corporate transactions and entity matters. The ideal candidate will have at least 3 years of transactional experience, particularly in Private Equity, Capital Markets, or M&A, and strong knowledge of corporate maintenance, due diligence, and transaction closing processes.

 

What You’ll Do

  • Assist with the formation, maintenance, and dissolution of corporate entities.
  • Prepare and maintain organizational documents and corporate records.
  • Support attorneys with complex corporate and transactional matters.
  • Coordinate and assist with transaction closings.
  • Prepare legal opinions and related opinion backup materials.
  • Draft and file corporate and securities-related documents.
  • Conduct due diligence and organize transaction materials.
  • Prepare stock certificates and maintain corporate records.
  • Maintain capitalization tables and option records.
  • Conduct Blue Sky research and prepare related filings.
  • Assist with corporate filings and regulatory requirements.
  • Track transaction deadlines and ensure required documents are completed accurately and timely.
  • Provide guidance and training to case assistants and junior paralegals.
  • Handle confidential client and transaction information with discretion.

 

What You’ll Bring

  • 3+ years of transactional paralegal experience, preferably within a law firm.
  • Experience supporting Private Equity, Capital Markets, and/or M&A matters.
  • Bachelor's degree required.
  • Strong understanding of corporate and transactional processes.
  • Experience with entity management and corporate records.
  • Strong organizational and project management skills.
  • Excellent written and verbal communication skills.
  • Strong attention to detail and ability to manage multiple deadlines.
  • Proficiency with Microsoft Office; advanced Excel skills preferred.
  • Experience with Carta, Shareworks, or similar equity-tracking platforms preferred.
  • Ability to work independently while collaborating effectively with attorneys and other legal professionals.
  • Strong discretion when handling confidential information.
