Senior Corporate Paralegal

We are seeking an experienced Senior Corporate Paralegal to support corporate transactions and entity management for private and public company clients. The ideal candidate has strong transactional experience, excellent organizational skills, and the ability to work independently while managing complex legal matters.

What You’ll Do

• Assist with the formation, maintenance, and dissolution of corporate entities and prepare organizational documents.

• Coordinate transaction closings and prepare related documentation.

• Prepare legal opinions and assemble supporting materials.

• Draft and file corporate and securities documents.

• Organize corporate records and conduct due diligence reviews.

• Prepare stock certificates and maintain capitalization tables and stock option records.

• Research Blue Sky requirements and prepare related filings.

• Train case assistants and junior paralegals.

• Support additional legal projects and perform other duties as needed.

What You’ll Bring

• Bachelor’s degree.

• 5+ years of transactional experience in private equity, capital markets, and mergers and acquisitions (M&A) preferred.

• Excellent written and verbal communication skills.

• Strong attention to detail and the ability to manage multiple priorities.

• Excellent organizational and time-management skills.

• Ability to handle confidential information with discretion.

• Strong interpersonal skills and the ability to build effective working relationships.

• Proficiency in Microsoft Office, with advanced Excel skills preferred.

• Familiarity with Carta, Shareworks, or similar equity-tracking platforms is an advantage.

• Previous law firm experience preferred.

• Flexibility to work overtime as required.
