What You’ll Do

• Support emerging company and venture fund matters
• Prepare and maintain organizational documents
• Assist with partnership and LLC agreements
• Prepare side letters, transfer agreements, admission agreements, and amendments
• Conduct investor suitability and document due diligence
• Research federal and state securities regulations
• Prepare and file required notices
• Assist with fund formation opinions and supporting documentation
• Support SEC compliance reporting
• Complete timekeeping and other administrative responsibilities

What You’ll Bring

• 1–3 years of fund formation experience
• Bachelor’s Degree
• Strong organizational and time-management skills
• Excellent written, communication, and proofreading abilities
• Strong attention to detail
• Ability to manage multiple assignments and deadlines
• Ability to work independently and as part of a team
• Comfortable working in a fast-paced environment
• Professional, reliable, and proactive approach
• Paralegal Certificate preferred
