A leading law firm is seeking a Senior Fund Formation Paralegal to support attorneys and senior paralegals on sophisticated venture fund and emerging company matters. This is an excellent opportunity for an experienced legal professional seeking a fast-paced and collaborative environment.

 

What You’ll Do

• Support venture fund and emerging company matters
• Prepare and maintain corporate and organizational documents
• Draft partnership and LLC agreements
• Prepare side letters, transfer and admission agreements, and amendments
• Conduct investor suitability and legal due diligence
• Research federal and state securities regulations
• Prepare and file required regulatory notices
• Assist with fund formation opinions and supporting documentation
• Support SEC compliance reporting
• Maintain accurate time records and complete administrative responsibilities

What You’ll Bring

• 5+ years of paralegal experience, preferably in fund formation
• Bachelor’s Degree
• Experience with venture funds and emerging companies
• Excellent communication, proofreading, and organizational skills
• Strong attention to detail
• Ability to prioritize multiple assignments and deadlines
• Comfortable working independently and with a team
• Ability to work effectively under pressure
• Strong professionalism, initiative, and reliability
• Paralegal Certificate preferred
