Structured Finance Attorney – Warehouse & Repo Facilities

Location: New York, NY (Primary); Dallas, TX; Miami, FL; Washington, D.C.
Salary: $260,000 to $365,000 Base Salary (Plus comprehensive bonus and benefits structure)
Schedule: Full-time, Direct-Hire, Minimum 1,850 hours annual billed target.

Duties
The incoming Mid-Level Associate will join a market-leading structured finance practice group, taking a leading role in executing high-stakes repurchase facilities, warehouse lending, and complex asset-backed credit structures. This role requires managing complex transactions from inception to closing, providing sophisticated advice on structured lending and novel financing vehicles.
Core responsibilities include:
⨖ Architecting and Structuring Repo Finance and warehouse lending facilities across diverse asset classes, including trade receivables, digital infrastructure, and novel credit assets.
⨖ Drafting and Negotiating principal deal documentation, including repurchase agreements, warehouse credit facilities, security agreements, servicing contracts, and private credit placement agreements.
⨖ Advising Financial Institutions, institutional lenders, underwriters, and corporate borrowers on regulatory, capital markets, and execution strategy for complex, high-value structured lending.
⨖ Managing Transaction Diligence, coordinating cross-functional legal teams, and supervising junior associates through all phases of deal execution, closing, and post-closing administration.
⨖ Formulating Structured Private Credit Facilities that match institutional capital with emerging business frameworks and market opportunities.
Qualifications
Candidates must bring strong academic achievements and direct, substantive transaction management experience.
⨖ Juris Doctor (J.D.) from an ABA-accredited law school with superior academic credentials.
⨖ Active Bar Membership in the state of the office location (NY, TX, FL, or D.C.), or eligibility to waive in promptly.
⨖ Three (3) to Five (5) Years of direct experience in securitization, structured finance, repurchase facilities, or general capital markets/leveraged finance at a major law firm.
⨖ Technical Mastery of financial capital markets transactions, asset-backed securitization, or structured credit.
⨖ Proven Execution Capabilities required to manage complex deal workflows, advise executive clients, and oversee associate development.
Skills
The following preferential qualifications will significantly enhance a candidate's profile:
⨖ Direct experience executing repurchase agreements (Master Repurchase Agreements/MRAs) or complex warehouse credit facilities.
⨖ Background advising both traditional underwriters/issuers and private credit funds.
⨖ Outstanding drafting, analytical, and oral negotiation skills with a demonstrated ability to simplify complex financial legal mechanics for non-legal stakeholders.
