Duties
The incoming Mid-Level Associate will function as a vital operative within the firm’s elite corporate finance cohort, driving complex transactional matters from preliminary structuring through to successful closing. This position requires a strategic mindset capable of navigating multifaceted corporate architectures and regulatory frameworks.
Core responsibilities include:
⨖ Structuring and executing sophisticated Mergers and Acquisitions (M&A) for a diverse portfolio of middle-market and enterprise-level entities.
⨖ Advising corporate clients and underwriters on intricate Capital Markets transactions, including high-stakes debt and equity offerings.
⨖ Facilitating the formation, public offering, and subsequent business combinations of Special Purpose Acquisition Companies (SPACs).
⨖ Guiding complex real estate transactions and related corporate financing initiatives to ensure alignment with overarching commercial goals.
⨖ Drafting, reviewing, and meticulously negotiating a broad spectrum of transaction documents, offering memorandums, and corporate governance materials.
Qualifications
Candidates must exhibit a robust foundation in corporate transactional law and the agility to thrive within a fast-paced, sophisticated environment.
⨖ Juris Doctor (J.D.) from an ABA-accredited law school coupled with distinguished academic credentials.
⨖ Active Bar Membership and in good standing in either New York (NY) or the District of Columbia (D.C.).
⨖ Three (3) to Five (5) Years of substantive, direct experience managing corporate transactions at a respected midsize or large law firm.
⨖ Demonstrated proficiency in navigating at least one, if not multiple, of the following areas: M&A, Capital Markets, Real Estate Transactions, or SPACs.
⨖ Exceptional analytical reasoning, rigorous attention to detail, and masterful written and verbal communication abilities.
