Our client, a prestigious AmLaw 100 national law firm, is seeking a talented Associate Attorney to join its expanding Securities & Capital Markets practice in Seattle or Portland. This is an outstanding opportunity to work with a sophisticated corporate team advising publicly traded companies on securities law compliance, capital markets transactions, corporate governance matters, and strategic transactions. The practice offers exposure to a broad range of complex matters while providing a collaborative environment focused on mentorship, professional development, and long-term career growth.

 


 

Candidate Profile

  • JD from a top-tier law school with an excellent academic record
  • Active Bar Admission in relevant jurisdiction, in good standing
  • 4-6 years of substantive experience in securities and capital markets matters
  • Experience advising public companies on SEC reporting and ongoing compliance obligations
  • Strong background in capital markets transactions, including public and private securities offerings
  • Experience with public company mergers and acquisitions and related securities law considerations
  • Knowledge of corporate governance matters affecting publicly traded companies
  • Comprehensive understanding of the Securities Exchange Act of 1934, Securities Act of 1933, stock exchange listing requirements, and related regulations
  • Exceptional legal research, drafting, analytical, and organizational skills
  • Demonstrated ability to manage multiple deadlines and work collaboratively within a team-oriented environment
  • Commitment to superior client service, with interest in direct client contact and business development opportunities
 

 

Key Responsibilities

  • Advise publicly traded companies on SEC reporting requirements and ongoing compliance obligations
  • Assist clients with capital markets transactions, including public offerings, private placements, and other securities-related matters
  • Support public company mergers, acquisitions, and strategic corporate transactions
  • Counsel boards of directors and management teams on corporate governance matters and regulatory developments
  • Draft and review securities filings, disclosure documents, transaction agreements, and governance-related materials
  • Monitor and advise clients regarding evolving securities laws, stock exchange requirements, and regulatory guidance
  • Collaborate with attorneys across corporate, finance, tax, and other practice areas to provide comprehensive client service
  • Maintain significant client contact while managing multiple matters in a fast-paced practice environment

Compensation & Benefits

  • Competitive Salary: Expected annual salary range of $230,000 – $305,000, commensurate with experience and market conditions
