2+ years of experience at a large law firm handling licensing, commercial contracts, and M&A transactions.
Strong understanding of intellectual property, due diligence, and contract negotiations in the context of M&A and financing transactions.
High proficiency in document management systems (iManage, SharePoint) and Microsoft Office Suite.
Excellent analytical, communication, and organizational skills.
Ability to work efficiently under time pressure with minimal supervision.
Conduct due diligence reviews for M&A and financing transactions, assessing technology and commercial agreements.
Prepare written summaries, disclosure schedules, and document reports for deal teams.
Communicate key findings to team leaders and project stakeholders.
Organize and track due diligence materials, information requests, and responses.
Maintain and update document databases to ensure streamlined transaction processes.
This is an exciting opportunity to be part of a premier Technology Transactions team that works alongside one of the nation’s leading M&A and IPO practices. The firm represents industry-defining clients in cutting-edge deals, providing attorneys with hands-on experience in high-stakes transactions. The firm has regularly appeared in the highest tiers of Chambers USA, Vault Law 100, and Global 200 rankings, as well as the top 15 list in The American Lawyer’s Diversity Scorecard.
Fostering a collaborative and entrepreneurial culture, alongside providing attorneys with hands-on experience, direct client engagement, and significant career development opportunities, is a priority to them.
Working in this role would be ideal for an attorney who enjoys complex transactional work but prefers a structured, non-partnership track position in a dynamic work environment.
