STAFF ATTORNEY – TECHNOLOGY TRANSACTIONS - M&A FOCUS (non-partnership track)

Our client, an elite AmLaw 100 firm, is seeking a Staff Attorney to join their M&A-focused Technology Transactions Practice Group in Silicon Valley, San Francisco, or New York. This is a rare opportunity to work on complex, high-profile transactions for some of the most prominent technology, entertainment, and life sciences companies in the U.S.

Candidate Profile:

• JD from a top-tier law school with a strong academic record.

• Bar admission in the relevant jurisdiction, or eligibility to sit for/waive into the next bar exam.

• 2+ years of experience at a large law firm handling licensing, commercial contracts, and M&A transactions.

• Strong understanding of intellectual property, due diligence, and contract negotiations in the context of M&A and financing transactions.

• High proficiency in document management systems (iManage, SharePoint) and Microsoft Office Suite.

• Excellent analytical, communication, and organizational skills.

• Ability to work efficiently under time pressure with minimal supervision.

Key Responsibilities:

• Conduct due diligence reviews for M&A and financing transactions, assessing technology and commercial agreements.

• Prepare written summaries, disclosure schedules, and document reports for deal teams.

• Communicate key findings to team leaders and project stakeholders.

• Organize and track due diligence materials, information requests, and responses.

• Maintain and update document databases to ensure streamlined transaction processes.

Compensation & Benefits:

Competitive Compensation: includes a salary ranging from $125,000 to $160,000 (determined by experience and market factors), along with opportunities to earn a discretionary performance-based bonus.
