CORPORATE M&A ASSOCIATE ATTORNEY

Are you an experienced M&A attorney looking to work with some of the most innovative technology and life sciences companies?

 

Our client, a top-tier AmLaw 100 firm, is seeking a Mid-Level Corporate Associate Attorney to join their dynamic team in Silicon Valley, San Francisco, Santa Monica, New York, Seattle, or Washington, DC.  This role offers the opportunity to work on high-profile transactions, including strategic acquisitions for industry leaders and successful exits for emerging unicorns.

 

Candidate Profile:

  • JD from a top-tier law school with a strong academic record.

  • Bar admission in the relevant jurisdiction, or eligibility to sit for/waive into the next bar exam.

  • 3–5 years of substantive experience in M&A at a leading corporate law firm.

  • Strong deal execution experience, including due diligence, negotiations, and drafting transaction documents.

  • Ability to manage complex transactions and work effectively with clients and opposing counsel.

  • Experience or interest in working with technology and life sciences companies is a plus.

 

Key Responsibilities:

  • Represent clients in domestic and cross-border M&A transactions, joint ventures, and strategic investments.

  • Draft, negotiate, and review transactional documents, including purchase agreements, shareholder agreements, and due diligence reports.

  • Advise clients on corporate governance, securities laws, and other regulatory matters related to M&A.

  • Collaborate with teams across the firm, including specialists in tax, intellectual property, and regulatory law.

  • Maintain strong client relationships and provide strategic legal counsel to startups, emerging growth companies, and Fortune 500 corporations.

Compensation & Benefits:

Competitive Compensation: includes a salary ranging from $310,000 to $445,000 (determined by experience and market factors), along with opportunities to earn a discretionary performance-based bonus.
