Senior Corporate & Transactional Attorney

§ Practice Area: Middle-Market Mergers & Acquisitions, Corporate Governance, Entity Structuring, & Commercial Transactions

§ Location: New York, NY (Hybrid: 4 Days In-Office / 1 Day Remote)

§ Compensation: $280,000 to $325,000+

(Commensurate with experience and seniority; includes comprehensive medical, dental, vision, 401(k), paid parental leave, and generous annual discretionary performance bonuses)

§ Schedule: Full-time, Direct-Hire, Minimum 1,850 annual billable hours requirement

§ Duties:

The incoming Senior Corporate Attorney will serve as a primary transactional lead and trusted legal advisor, managing complex business transactions from initial deal structuring through post-closing integration.

Core responsibilities include:

⨖ Spearheading and quarterbacking middle-market mergers, acquisitions, dispositions, recapitalizations, and strategic corporate reorganizations.

⨖ Drafting, reviewing, and negotiating a comprehensive array of sophisticated transactional agreements, including stock and asset purchase agreements, buy/sell agreements, joint venture agreements, shareholder agreements, and operating covenants.

⨖ Formulating custom corporate governance frameworks, charter documents, and commercial contracts for middle-market business entities and entrepreneurial founders.

⨖ Serving as direct outside general counsel to client leadership, providing real-time strategic guidance to identify, evaluate, and mitigate commercial, legal, and operational risks.

⨖ Directing comprehensive due diligence investigations, supervising junior associates and paralegals, and managing transactional closing timelines across multi-disciplinary deal teams.

⨖ Interfacing directly with C-suite executives, institutional lenders, opposing counsel, and cross-border commercial stakeholders.

§ Qualifications:

Candidates must demonstrate exceptional legal acumen, mature commercial judgment, and substantive experience leading middle-market corporate matters.

⨖ Juris Doctor (J.D.) from an ABA-accredited law school with an outstanding academic record.

⨖ Active Bar Membership in good standing with the State Bar of New York.

⨖ Eight (8) to Ten (10)+ years of substantive corporate, transactional, and M&A experience within an established law firm environment.

⨖ Proven track record of independently managing complex business transactions from inception through closing.

⨖ Superior legal drafting, contractual analysis, and client-facing communication capabilities.

§ Skills:

The following credentials and technical proficiencies will significantly enhance a candidate’s application:

⨖ Deep familiarity advising closely held businesses, family offices, and middle-market entrepreneurs on corporate succession planning and commercial restructuring.

⨖ Substantive experience negotiating commercial finance facilities, debt instruments, and equity financing arrangements.

⨖ Working knowledge of tax-efficient transaction structuring and cross-border commercial considerations.

⨖ Demonstrated leadership capability to mentor junior associates, streamline deal mechanics, and foster enduring client relationships.
