§ Schedule: Full-time, Direct-Hire, Minimum 1,850 hours annual billed target.

§ Duties: The incoming associate will serve as a critical advisor within the firm's elite finance group, orchestrating the life cycle of sophisticated commercial lending arrangements. This role demands a high degree of technical proficiency in secured transactions and an acute understanding of institutional risk management. Core responsibilities include:

⨖ Structuring, documenting, and executing a diverse array of domestic and cross-border financing transactions, encompassing both syndicated and bilateral debt facilities, on an unsecured and secured basis.

⨖ Drafting and intensely negotiating foundational credit documentation, including master credit agreements, complex reimbursement mechanisms, intercreditor frameworks, participation agreements, and receivables purchase arrangements.

⨖ Providing authoritative legal analysis concerning the Uniform Commercial Code (specifically Articles 9, 5, 8, and 12) to ensure the perfection and priority of security interests.

⨖ Navigating the intricate intersection of commercial lending and insolvency by analyzing pertinent issues under the United States Bankruptcy Code to mitigate lender exposure.

⨖ Advising institutional clients on the legal mechanics and regulatory nuances of letters of credit, trade finance vehicles, and specialized funding structures.

§ Qualifications:

Candidates must possess an established track record and the technical expertise required to immediately contribute to a highly sophisticated practice.

⨖ Juris Doctor degree earned from an ABA-accredited academic institution.

⨖ Active admission in good standing to the New York State Bar.

⨖ Four to six years of substantive, direct transactional experience within a recognized law firm's banking, finance, or commercial lending practice group.

⨖ Demonstrated capability in independently managing multiple, fast-paced transaction timelines while maintaining meticulous attention to detail.

§ Skills: The following attributes are not strictly required but will heavily distinguish an applicant's candidacy:

⨖ A pronounced professional background representing institutional lenders (lender-side counsel) in complex credit arrangements.

⨖ Substantive exposure to the specialized legal frameworks governing trade finance and/or investment fund finance.

⨖ Deep familiarity with the issuance, structuring, and compliance aspects of letters of credit.

⨖ Proficiency leveraging advanced legal technology and AI-driven diligence or drafting tools to enhance transactional efficiency.
