Our client, a national AmLaw 200 firm, is seeking a seasoned Investment Funds Attorney to join its sophisticated Investment Management & Funds practice across multiple U.S. offices. This is an exceptional opportunity for a senior-level attorney to work on complex, high-value fund formation and structuring matters for a diverse client base that includes private equity sponsors, hedge fund managers, credit funds, and other alternative investment vehicles. The practice is known for its technical depth, collaborative culture, and market-leading work in the funds space.
Candidate Profile
- JD from an ABA-accredited law school with an excellent academic record
- Active Bar Admission in the relevant jurisdiction, in good standing

Significant experience in investment fund formation, structuring, and ongoing regulatory compliance

Deep knowledge of private equity funds, hedge funds, credit funds, and other alternative investment vehicles

Experience advising sponsors and managers on fund governance, disclosures, and regulatory matters

Strong familiarity with U.S. investment management regulations, including the Investment Advisers Act of 1940 and related SEC requirements

Ability to manage complex matters independently and serve as a trusted advisor to sophisticated clients

Excellent oral and written communication skills, sound judgment, and a client-focused approach

Large law firm experience strongly preferred
Key Responsibilities
- Advise fund sponsors and investment managers on the formation, structuring, and launch of investment funds across multiple asset classes
- Draft and negotiate fund documentation, including private placement memoranda, limited partnership agreements, operating agreements, and subscription materials
- Counsel clients on regulatory compliance matters under federal and state securities laws
- Provide ongoing advice regarding fund operations, governance, and investor relations
- Collaborate with colleagues across tax, regulatory, and transactional teams to deliver comprehensive legal solutions
- Stay current on regulatory developments impacting the investment management industry

Compensation & Benefits
- Compensation: $300,000–$520,000, as determined by experience and market factors
