Our client, a premier international law firm, is seeking an experienced Counsel to join its highly regarded Structured Finance practice in New York. This is an exceptional opportunity to work on sophisticated financing transactions involving securitizations, warehouse facilities, repurchase transactions, and other complex structured finance arrangements. The position offers significant responsibility, direct client interaction, and the opportunity to lead transactions from structuring through closing while collaborating with a nationally recognized finance team.

 

Candidate Profile

  • JD from a top-tier law school with an excellent academic record
  • Active Bar Admission in New York, in good standing
  • 8+ years of substantive complex financing transaction experience
  • Experience advising on repurchase facilities, warehouse facilities, syndicated lines of credit, securitizations, and other secured finance transactions
  • Demonstrated ability to independently manage transactions from initial structuring through closing
  • Extensive experience drafting, reviewing, and negotiating complex financing and securitization documentation
  • Strong understanding of repurchase agreements, credit agreements, pooling and servicing agreements, private placement memoranda, indentures, offering documents, and intercreditor arrangements
  • In-depth knowledge of financing structures supporting mortgage and asset-backed platforms preferred
  • Familiarity with servicing arrangements, collateral issues, and structured finance market practices
  • Ability to manage multiple transactions and deadlines simultaneously while maintaining meticulous attention to detail
  • Soft skills: Exceptional communication, organizational, and interpersonal skills, with a strong work ethic and commitment to client service


 

Key Responsibilities

  • Lead and manage structured finance transactions from initial structuring through execution and closing
  • Advise clients on repurchase facilities, warehouse financings, syndicated credit facilities, securitizations, and related secured finance transactions
  • Draft and negotiate complex transaction documentation including financing and securitization agreements
  • Support securitization and structured finance transactions across a broad range of asset classes
  • Assist with warehouse credit arrangements and related collateral and financing matters
  • Manage multiple active matters simultaneously and coordinate with attorneys and colleagues across practice groups
  • Conduct legal research and provide strategic guidance to support financing structures and market developments
  • Structure and execute mortgage-backed and asset-backed financing arrangements
  • Coordinate with clients, lenders, underwriters, servicers, and other transaction participants
  • Provide strategic legal advice regarding transaction structures, risk allocation, and market developments
  • Collaborate with attorneys across finance, capital markets, and related practice areas on complex transactions
