Our client, a global AmLaw 50 firm, is seeking an experienced Associate Attorney to join its nationally recognized Private Equity / Mergers & Acquisitions (M&A) Practice Group in Philadelphia. This is an exciting opportunity to work on high-profile, market-shaping transactions for top private equity sponsors and institutional investors alongside a collaborative and highly-regarded deal team. The group is known for its commercial judgment, client-first approach, and culture of mentorship and inclusion.

 


 

Candidate Profile

  • JD from a top-tier law school with an excellent academic record
  • Active Bar Admission in Pennsylvania, in good standing
  • 4+ years (class year of 2020 or 2021) of substantive experience in private equity and M&A transactions, preferably in a large law firm setting 
  • Significant experience as a key member of deal teams, including managing due diligence, drafting transaction documents, and running key aspects of deals through closing
  • Strong background in representing private equity sponsors and portfolio companies in domestic and cross-border transactions
  • Soft Skills: Excellent drafting, communication, and organizational abilities, with a collaborative, team-driven mindset and intellectual curiosity
 

 

Key Responsibilities

  • Represent private equity sponsors, institutional investors, and portfolio companies in mergers, acquisitions, leveraged buyouts, and other complex corporate transactions
  • Lead and manage key aspects of deal execution from due diligence through closing
  • Draft and negotiate purchase agreements, joint venture agreements, and related transaction documents
  • Collaborate with attorneys across practice areas, including finance, tax, and regulatory, to provide comprehensive client support
  • Contribute to the team’s growth and mentorship-driven culture by collaborating with colleagues at all levels

  • Competitive Salary: $365,000+, commensurate with experience and class year
