Our client, a well-established Texas-based law firm with a strong reputation in corporate and transactional work, is seeking a Corporate Legal Assistant to support a busy group of attorneys handling M&A, private equity, finance, and general corporate matters. The firm is known for combining sophisticated legal work with a practical, business-minded approach for middle-market and larger companies across a range of industries.
This position sits alongside a high-performing corporate team and plays a key role in keeping transactions moving efficiently from start to finish.
You’ll be deeply involved in the mechanics of deals—supporting attorneys through drafting, organization, and execution—while also serving as a reliable point of coordination across clients, opposing counsel, and internal teams.
What You’ll Do
- Prepare, revise, and finalize corporate and transactional documents, including agreements, closing checklists, and ancillary deal materials
- Manage deal files and data rooms, ensuring organization and accuracy throughout the transaction lifecycle
- Coordinate signatures and closings, including tracking deliverables and maintaining closing binders
- Assist with entity formation, governance documents, and corporate records maintenance
- Handle UCC filings, due diligence support, and document retrieval
- Maintain attorney calendars, schedule calls/closings, and facilitate communication across all parties
- Provide general administrative and project support in a fast-paced transactional environment

What They’re Looking For
- 3+ years of experience as a corporate or transactional legal assistant
- Strong familiarity with M&A or corporate deal processes
- Experience supporting closings, entity management, and document organization
- Highly organized with strong attention to detail and the ability to manage multiple priorities
- Proficiency with Microsoft Office; experience with document management systems and data rooms is a plus
- Professional communication skills and a proactive, team-oriented mindset
