Senior Antitrust Associate Attorney

Location: Washington, D.C.

 

Our client, a highly-regarded AmLaw 50 firm, is seeking an experienced and motivated Senior Associate Attorney to join its Antitrust & Competition Practice Group in Washington, DC. This is an exceptional opportunity for an attorney with a strong background in antitrust law, particularly in the context of mergers and acquisitions, to work on high-profile matters in a collaborative and sophisticated practice.

 

Candidate Profile:

  • JD from a top-tier law school with a strong academic record.
  • Active Bar Admission in D.C. in good standing.
  • 7+ years of substantive antitrust experience, including merger control, regulatory compliance, and commercial litigation.
  • Significant experience advising on the antitrust aspects of M&A transactions, including managing “clean team” protocols, drafting risk-shifting covenants, and assessing reportability under the Hart-Scott-Rodino (HSR) Act.
  • Strong background in handling foreign filing analyses, preparing premerger notifications, and representing clients in "second request" investigations.
  • Experience in commercial litigation, including managing discovery and drafting persuasive briefs.
  • Prior AmLaw 100 or government experience is highly preferred.
  • Exceptional legal writing, analytical, and interpersonal skills, with a proactive and team-oriented approach.

 

Key Responsibilities:

  • Provide strategic antitrust counsel for complex domestic and international mergers and acquisitions.
  • Advise clients on antitrust compliance, including regulatory filings under the HSR Act and foreign merger control regimes.
  • Manage investigations by the Federal Trade Commission (FTC) and the Department of Justice (DOJ), including handling “second request” compliance and negotiation.
  • Draft and negotiate antitrust provisions in transactional documents, including risk-shifting covenants.
  • Represent clients in high-stakes commercial litigation, including discovery management and motion practice.
  • Collaborate with a nationally-recognized team on cutting-edge antitrust matters across multiple industries.
