This Healthcare Regulatory Attorney will be dealing with complex legal liability matters and oversight compliance related to hospital and medical facility operations, ranging anything from Medicare & Medicaid fraud to HIPAA claims, professional liability for doctors/physicians/surgeons, and even workplace concerns such as harassment. Additionally, there will be involved some life sciences transactional work, likely related to the research and experiments conducted and the flow of public interest funds into and out of said operations and research initiatives as well as perhaps some corporate governance duties to be involved as a full-service to the client.
The role is designed to either build on an existing modest book of business within the life sciences transactions and medical regulatory law practices or grow into a partner role as a Junior Partner-track/Senior Associate Attorney who is ambitious and passionate.
\nThe attorney will act as a lead advisor on mergers, acquisitions, joint ventures, and other strategic transactions, serving a client base that includes hospitals, health systems, physician practices, and private equity firms. In addition to handling sophisticated deal work, this attorney will play a leadership role in business development, client relationship management, and mentoring junior associates. A portable book of business is required for consideration.
\nKey Responsibilities:
\nServe as lead counsel in structuring, negotiating, and closing major healthcare and life sciences transactions
\nDraft and negotiate asset purchase agreements, stock purchase agreements, joint venture documents, and governance agreements
\nAdvise clients on corporate governance, deal structures, and regulatory compliance
\nDirect and oversee due diligence reviews to identify risks and ensure smooth transactions
\nManage and expand client relationships, identifying growth opportunities within healthcare and private equity markets
\nMentor junior associates and contribute to the overall leadership of the healthcare practice group
\nQualifications:
\nJuris Doctor (J.D.) from an accredited U.S. law school
\nActive New Jersey Bar admission (New York Bar strongly preferred)
\n10+ years of healthcare transactional experience in private practice or in-house counsel roles
\nDemonstrated success managing complex transactions from inception to closing
\nProven ability to generate business, with a portable book of clients
\nStrong drafting, negotiation, and client advisory skills
\nHigh level of business acumen and strategic vision
\nPreferred Skills:
\nDual admission to NJ and NY Bars
\nExperience with private equity-backed healthcare transactions
\nFamiliarity with hospital affiliations, joint ventures, and physician practice acquisitions
\nStrong presence in the regional healthcare/life sciences legal community
\nDemonstrated track record of thought leadership (publications, speaking engagements, or committee work)
\nAbility to integrate cross-practice collaboration, especially with tax and regulatory teams
