Candidate Profile

• JD from a top-tier law school with an excellent academic record
• Active Bar Admission in the relevant jurisdiction, in good standing
• 3+ years of substantive experience in technology transactions, IP licensing, or related areas
• Experience drafting and negotiating licensing and technology agreements, advising on IP issues, and supporting M&A and financing transactions
• Exposure to new technologies such as AI, blockchain, cloud computing, or digital media strongly preferred
• Subject-matter expertise in enterprise software, cloud services, outsourcing, fintech and payment systems, mobile applications, e-commerce, gaming, digital content, and/or hardware
• Prior experience at an AmLaw 50 firm or comparable environment required
• Soft Skills: Exceptional analytical, writing, and negotiation skills with the ability to manage complex transactions and collaborate effectively across teams

Key Responsibilities

• Draft and negotiate technology and IP licensing, SaaS, and development agreements
• Advise clients on IP ownership, data protection, and privacy issues in commercial transactions
• Provide strategic counsel on the development, commercialization, and distribution of emerging technologies
• Support mergers, acquisitions, and financing transactions involving technology and intellectual property assets
• Counsel start-ups and established companies on product development, manufacturing, and launch strategies
• Collaborate with cross-practice teams to deliver practical, business-oriented legal solutions
