BUSINESS TRANSACTIONS ASSOCIATE ATTORNEY

Our client, a highly-regarded AmLaw 200 firm, is seeking a talented Business Transactions Associate Attorney to join their dynamic practice. This is an exciting opportunity for a skilled corporate attorney to work on sophisticated transactions across multiple industries, collaborating with a team of experienced professionals in a fast-paced and rewarding environment. The position is open to candidates in various office locations, including Atlanta, Hartford, Los Angeles, Miami, Orlando, Tallahassee, Tampa, West Palm Beach, New Jersey, New York, and Washington, D.C.

 

Candidate Profile:

  • JD from a top-tier law school with a strong academic record.
  • Bar Admission in the relevant jurisdiction.
  • 3–6 years of substantive experience handling complex business transactions, including mergers and acquisitions.
  • Exposure to securities offerings, corporate finance transactions, and joint ventures is a plus.
  • Accounting or tax experience, or an LL.M. in Taxation is strongly preferred.
  • Exceptional legal writing, analytical, and communication skills.
  • Ability to work both independently and collaboratively in a team-driven environment.

 

Key Responsibilities:

  • Lead and support complex mergers and acquisitions, corporate finance transactions, and securities offerings.
  • Draft and negotiate transactional agreements, including purchase agreements, shareholder agreements, and joint venture documents.
  • Provide strategic counsel to clients on business structuring, compliance, and risk mitigation.
  • Collaborate with cross-functional teams, including tax and regulatory attorneys, to execute high-value transactions.
  • Maintain strong client relationships and provide proactive legal solutions tailored to business objectives.
