Our client, a prestigious AmLaw 50 law firm with a nationally recognized Corporate/Mergers and Acquisitions (M&A) practice, is seeking a skilled and motivated Associate Attorney to join their dynamic team in New York. This position offers the opportunity to engage in sophisticated transactional work for a diverse range of clients, including private equity firms and strategic buyers.
Candidate Profile:

JD from a top-tier law school with a strong academic record.
- Active Bar Admission in New York.

3–5 years of substantive experience in corporate transactions and M&A work.
- Demonstrated experience with private equity transactions is required.
- Proficiency in domestic and cross-border purchase and sale transactions, strategic mergers, leveraged buyouts, corporate restructurings, joint ventures, and corporate governance.
- Excellent interpersonal and communication skills, with a proven ability to collaborate effectively within a team.
Key Responsibilities:
- Advise clients on a variety of complex corporate transactions, including private equity deals, mergers, acquisitions, and joint ventures.
- Draft, review, and negotiate transactional documents, including purchase agreements, shareholder agreements, and corporate governance documentation.
- Support clients in corporate restructurings and strategic planning initiatives.
- Manage aspects of cross-border transactions, ensuring compliance with relevant regulations and addressing jurisdictional challenges.
- Develop and maintain strong client relationships through regular interaction and strategic counsel.
- Collaborate with multidisciplinary teams to address tax, regulatory, and other legal considerations.
