Location: This role can be based in Charlotte, Chicago, New York City, Salt Lake City, San Francisco, or Washington, D.C. in a dynamic law firm environment.
Note: Candidates must have 3+ years of directly relevant corporate trust, loan agency, and/or finance transactional experience at a large or mid-size law firm and must be admitted, or eligible to waive into the bar, in the jurisdiction where they will sit.

Job Description
- Advise on corporate trust, loan agency, and asset securitization transactions.
- Represent indenture trustees, administrative agents, collateral agents, and collateral trustees in debt offerings and loan financing matters.
- Review and negotiate credit agreements, collateral documents, and related transaction materials.
- Handle domestic and cross-border financing transactions.
- Analyze corporate debt offerings, including Rule 144A and Regulation S matters.
- Review financing statements and work with UCC Article 8 and Article 9 issues.
- Manage multiple active transactions while delivering responsive client service.
- Collaborate closely with attorneys and clients on sophisticated finance matters.
Qualifications
- 3+ years of corporate trust, loan agency, and/or finance transactional experience.
- Large or mid-size law firm background preferred.
- Experience with debt offerings, loan financing transactions, and related documentation.
- Familiarity with Rule 144A, Regulation S, and trustee/agent-side representations preferred.
- Strong understanding of UCC Article 8 and 9 preferred.
- Excellent communication, analytical, interpersonal, and writing skills.
- Strong academic credentials.
- Active bar membership in good standing or ability to waive into applicable jurisdiction.
