Our client, a prestigious global AmLaw 50 law firm, is seeking a highly qualified Capital Markets Associate Attorney to join its sophisticated Corporate Finance & Capital Markets practice. This role offers the opportunity to work on innovative, high-profile domestic and cross-border transactions for clients across asset management, private credit, private equity, and life sciences industries. The practice is widely recognized for executing complex financings and structuring cutting-edge capital markets transactions in global markets.
Candidate Profile:
- JD from a top-tier law school with a strong academic record.
- Active Bar Admission in the relevant jurisdiction, in good standing.
- 3-8 years of substantive experience in capital markets.
- Experience representing issuers, underwriters, and placement agents in public offerings, private placements, and other securities offerings.
- Strong background advising on securities law compliance and reporting obligations under the Securities Act of 1933 and the Securities Exchange Act of 1934.
- Experience representing business development companies (BDCs) and other 1940 Act funds; experience with 1933 Act ETFs is a plus.
- Demonstrated experience serving as a key member of deal teams, including managing significant aspects of transactions from due diligence through closing
- Large law firm experience strongly preferred.
Key Responsibilities:
- Represent issuers, underwriters, placement agents, and sponsors in a broad range of capital markets and securities transactions
- Draft, review, and negotiate offering documents, disclosure materials, and transaction agreements
- Advise clients on federal securities law compliance, ongoing reporting obligations, and regulatory considerations
- Play a central role in executing IPOs, debt offerings, private placements, and other complex financings
- Collaborate with attorneys across multiple practice areas to support seamless domestic and cross-border transactions
