ASSOCIATE ATTORNEY – PRIVATE FUNDS

A premier Amlaw 50 firm is seeking a highly qualified mid-level to senior Associate Attorney to join its Private Investment Funds practice. This position is available in several key markets, with a particular focus on Chicago, New York, and Washington, D.C.

 

 

Candidate Profile

  • JD from a top-tier law school with a strong academic record.
  • Admission to the Bar in the state of the preferred office location.
  • 4–8 years of substantive experience advising private fund managers, with a focus on fund formation and ongoing operations.
  • Demonstrated experience representing private investment funds through all stages of their lifecycle, including formation, compliance, and regulatory matters.
  • Experience drafting and reviewing private offering materials and familiarity with SBIC licensing is preferred.
  • Soft Skills: Excellent writing, analytical, communication, and negotiation skills are essential, as well as a keen attention to detail and strong business acumen.
 

 

Key Responsibilities
  • Advise fund sponsors on structuring, launching, and operating private investment funds.
  • Draft and negotiate fund documents and private placement memoranda.
  • Provide regulatory guidance, including matters related to the Investment Advisers Act, SEC compliance, and SBIC regulations.
  • Work closely with clients to navigate the legal and business complexities of fund formation and investor relations.
  • Collaborate closely with partners, clients, and cross-practice colleagues to deliver practical, business-oriented legal solutions.

Compensation & Benefits

  • Annual base salary range of $310,000 to $435,000, as determined by experience and market factors.
  • Eligibility for a discretionary bonus.
