Job Title: Corporate ParalegalLocation: Miami, FLSalary: Up to $120,000 per year

Responsibilities:

  • Form, merge, and dissolve entities.
  • Prepare documents for filing with Departments of State and other jurisdictions; work with outside agents for filing out-of-state documentation; following up on filings.
  • Assist with corporate transactions including mergers & acquisitions, capital market transactions, venture capital investments, financing, and private equity.
  • Prepare Stock Certificates.
  • Prepare and revise organizational charts.
  • Maintain closing checklists and documents for corporate transactions.
  • Retrieve public records.
  • Prepare and file UCC Financing statements.
  • Perform research of UCC and laws governing business organizations.
  • Perform UCC/lien searches.
  • Coordinate document retrieval from government agencies, review corporate public records, and draft analyses.
  • Maintain corporate minute books.

Requirements:

  • 3 to 5 years of corporate and transactional experience.
  • Superior organizational skills and ability to handle a high volume and fast-paced environment.
  • Attention to detail and ability to complete tasks in a timely manner.
  • Initiative and ability to work independently.
  • Motivated individual with a passion for working in the corporate arena.
  • Proficient in Microsoft Office suite.
  • Experience with corporate transactional work, including mergers & acquisitions, capital market transactions, venture capital investments, financing, and private equity.
