A leading law firm is seeking an experienced Senior Corporate Paralegal to provide high-level support on corporate maintenance and complex transactions for both private and public company clients. This role is ideal for a detail-oriented professional with transactional experience and the ability to work independently with minimal supervision.

What You’ll Do:

  • Assist in the formation, maintenance, and dissolution of corporate entities and prepare related organizational documents.

  • Coordinate closings and prepare related transaction documents.

  • Draft and file corporate and securities filings, assemble legal opinions, and maintain opinion back-up.

  • Organize corporate records, conduct due diligence reviews, and maintain capitalization tables and stock certificates.

  • Research Blue Sky issues and prepare required filings.

  • Provide training and guidance to case assistants and junior paralegals.

  • Perform additional tasks as assigned to support attorneys and the corporate team.

What You’ll Bring:

  • Bachelor’s degree required.

  • 5+ years of transactional experience in Private Equity, Capital Markets, or M&A preferred.

  • Strong attention to detail, excellent communication skills, and the ability to manage multiple priorities.

  • Professional maturity and discretion handling confidential client matters.

  • Proficiency in Microsoft Office (advanced Excel preferred).

  • Familiarity with Carta, Shareworks, or similar equity tracking systems is a plus.

  • Willingness to work overtime as needed.
