Corporate Paralegal
📍 Location: Hybrid Schedule (3 days in-office/week, typically Mon–Wed)

đź’˛ Compensation: Up to $130,000 (Commensurate with Experience) + 10% Bonus Potential
What You’ll Do:

Prepare and file SEC forms under Section 16 of the Exchange Act; manage EDGAR codes, filings, and trading plans for directors and officers.

Oversee securities law compliance, including insider trading policy administration, pre-clearance, and quarterly blackout processes.

Coordinate preparation of proxy statements using Workiva, including ownership disclosures and SEC compliance requirements.

Support the preparation and review of SEC filings, including Forms 10-K, 10-Q, 8-K, S-8, and Section 16 reports.

Assist in the development and administration of policies on insider trading, Regulation FD, related party transactions, and 10b5-1 plans.

Collaborate with legal and finance teams on capital markets transactions, regulatory filings, and due diligence.

Prepare closing checklists, track deliverables, obtain signatures, and organize deal documentation.

Maintain and update legal filing systems, including contract management platforms, policy trackers, and data retention processes.

Conduct legal research and provide general support to the legal department and corporate governance functions.
What You’ll Bring:

Minimum 3+ years of experience in a corporate legal department or law firm.

Bachelor’s degree and/or Paralegal certification.

Experience with U.S. public companies and knowledge of SEC filing requirements (Forms 10-K, 10-Q, 8-K, Section 16 filings) strongly preferred.

Familiarity with Workiva, EDGAR, Diligent, Microsoft Office Suite (especially Excel and PowerPoint), and DocuSign; ability to learn new systems quickly.

Excellent attention to detail and a strong understanding of legal and regulatory processes.

Ability to multitask, prioritize, and work independently while collaborating effectively on complex matters.

Outstanding communication, writing, and organizational skills.

Demonstrated discretion, sound judgment, and ability to maintain confidentiality.

Notary Public (New York) preferred, or willingness to obtain certification.
