Our client, a prestigious AmLaw 50 firm, is seeking a skilled Mergers & Acquisitions Associate Attorney to join their Corporate & Securities team in Philadelphia. This practice group represents buyers, sellers, and advisors in complex, high-stakes M&A and private equity transactions worldwide. Candidate Profile:

  • JD from a top-tier law school with a strong academic record.
  • Active Bar Admission in Pennsylvania.
  • 4–7 years of substantive M&A and private equity experience.
  • Proven experience drafting and negotiating complex M&A and private equity transaction documents.
  • Demonstrated ability to serve as a key member of deal teams, managing aspects of transactions from due diligence to closing.
  • Prior experience with an AmLaw 50 firm is required.
  • Exemplify team driven attitude.

 

Key Responsibilities:

  • Advise clients on sophisticated M&A and private equity transactions, offering strategic legal and technical guidance.
  • Draft, review, and negotiate acquisition agreements, equity documents, and related transaction documentation.
  • Lead and coordinate due diligence efforts, ensuring comprehensive analysis and compliance.
  • Manage critical transaction components, collaborating with internal and external stakeholders to deliver seamless client service.
  • Stay updated on financial and market trends to provide forward-thinking counsel.
