Our client, a premier AmLaw 50 firm, is seeking a driven Counsel Attorney to join its high-performing Private Investment Funds (PIF) Group, within the Private Equity Practice. This non-partnership track role is an exciting opportunity to work on complex and private investment transactions for elite private equity sponsors, direct lenders, and financial institutions across a wide range of industries and deal structures.
Candidate Profile

JD from a top-tier law school with an excellent academic record
-
Active Bar Admission in the relevant jurisdiction, in good standing, or eligibility to obtain admission promptly

6+ years of substantive experience in fund formation transactions with private investment funds, focusing on the private equity, real estate, and/or tech industries
- Skilled in private placements under the 1933 Act, managing unregistered funds under the Investment Company Act, and familiar with the Investment Advisers Act
- Strong proficiency in drafting and negotiating fund formation documents and operational agreements, ensuring compliance with applicable laws and regulations
- Demonstrated experience negotiating with fund investors and handling fund operational matters
- Prior experience at an AmLaw 100 or similarly sophisticated firm required
- Soft Skills: Excellent communication, organizational, and analytical abilities; experience managing complex workstreams and coordinating with multiple stakeholders; proven ability to thrive in a fast-paced, high-performance environment
Key Responsibilities

Represent private equity, hedge, private credit, real estate, hybrid, and other types of funds employing alternative investment strategies

Advise fund manager clients on the structuring, formation, and operation of private investment funds

Draft and manage fund documents, including negotiation with institutional and high-net-worth investors on fund terms and related agreements
- Collaborate closely with partners, associates, and clients to deliver strategic legal and business solutions
- Provide ongoing counsel on fund governance, regulatory issues, and operational matters
- Collaborate with colleagues across the firm’s private equity, M&A, tax, and restructuring teams to deliver comprehensive transactional support
- Serve as a key contributor throughout all stages of transactions

Competitive Compensation: Expected annual base salary is $390,000+, depending on experience, qualifications, and market factors
