Transactions Associate Attorney – Dallas, Texas

Our client, a nationally-recognized AmLaw 50 firm, is seeking a Transactions Associate Attorney to join their Transactions Practice Group in their Dallas, Texas office. This role offers a unique opportunity to work on high-profile matters in a collaborative and supportive environment.

 

Candidate Profile:

  • JD from an ABA-approved law school with a strong academic record.
  • Active Bar Admission in Texas AT TIME OF HIRE, in good standing.
  • 3–5 years of substantive experience in representing clients in a variety of complex corporate matters including mergers and acquisitions, financings, corporate governance, securities, and other commercial transactions.
  • Strong drafting and project management skills, with an ability to manage complex transactions effectively.
  • Excellent writing and communication skills and a proactive, positive attitude toward client service and team collaboration.
  • Experience interacting directly with clients and partners, with a proven ability to build strong professional relationships.
  • Seeking a well-rounded, dynamic, highly motivated associate, who has a strong desire to contribute to a team

 

Key Responsibilities:

  • Represent clients in venture capital financings, M&A transactions, private equity deals, and other commercial transactions.
  • Represent US and international clients on international and national transactions and requires an associate who is comfortable working on teams and having regular, direct interaction with partners, senior associates, and clients.
  • Handle emerging companies and venture capital (ECVC) financing, as well as M&A
  • Provide general corporate counseling to publicly and privately held companies, private equity funds, entrepreneurs, and investors.
  • Draft and negotiate sophisticated transaction documents, ensuring seamless execution and management of all deal stages.
  • Collaborate with a dynamic and growing team to support the firm’s strategic objectives while maintaining a high standard of client service.
