Billing Requirement: 1,800 – 2,200 hours annually
Salary: $180,000 – $250,000 (commensurate with experience; bonus and origination opportunities available)

The client is seeking a Healthcare Transactional Attorney (Partner Level) with 10+ years of experience to lead high-level healthcare mergers and acquisitions, joint ventures, private equity–affiliated roll-ups, MSO structures, and related corporate transactions. The attorney will oversee deal strategy, due diligence, compliance assessments, and negotiation, while providing business-oriented, practical advice to healthcare clients.
Key responsibilities include:
Leading complex healthcare M&A transactions and overseeing full deal lifecycle
Structuring, drafting, and negotiating operating agreements, management and MSO agreements, employment and contractor agreements, asset/stock purchase agreements, leases, and billing arrangements
Advising clients on compliance matters involving Stark Law, Anti-Kickback Statute, ERISA, fee-splitting rules, and corporate practice prohibitions
Collaborating with internal teams and client stakeholders to drive results and ensure regulatory alignment
(Required competencies, skills, and credentials)
Juris Doctor (JD) from an accredited law school
Active Bar admission in New Jersey (New York admission preferred)
Minimum 10+ years of experience in healthcare transactional law
Deep regulatory knowledge: Stark Law, Anti-Kickback Statute, ERISA, fraud/abuse, corporate practice doctrines, and fee-splitting laws
Proven track record leading and closing healthcare M&A transactions
Sophisticated negotiation skills and experience drafting complex transactional agreements
Familiarity with medical, dental, pharmacy, veterinary, and hospital industry deal structures
Strong business judgment and problem-solving skills
High-level professionalism, writing competency, and communication ability
Experience using document management platforms, Microsoft Office, and e-discovery tools
Ability to manage sensitive matters under pressure and meet deadlines with precision
(Not required, but advantageous)
Portable business/origination is beneficial but not mandatory
Experience supervising or mentoring junior attorneys
Background working with private equity or multi-location healthcare groups
Relationships within healthcare industry verticals
Exposure to multi-state regulatory frameworks
Prior experience at an AM Law, regional, or specialty healthcare law firm
Experience managing interdisciplinary teams on large transactions
