Corporate Paralegal (Transactional) – annualized salary range: $50,000 to $80,000. Actual pay will be adjusted based on experience and other job-related factors permitted by law. 

 

Our client is a leading mid-sized law firm with offices around the tri-state and Florida. Hybrid work environment, working 9-5pm.

They are currently seeking a Corporate Paralegal (transactions) with at least 1-3 years of experience for its Long Island location. Responsibilities include, but are not limited to:

INCORPORATION

Form Corporations, PLLC's, LLC's, P.C.'s, non-profits, partnerships:

  • Form entities in NY and virtually every other state in the continental U.S.
  • Check availability of names through Department of State and reserve name.
  • Draft and file formation documents with the Secretary of State; prepare organizational minutes, bylaws, operating agreements.
  • Arrange for mandatory publication of newly formed LLCs.
  • Obtain and organize minute book, corporate seal, prepare stock certificates, complete stock ledger, maintain corporate records.
  • Obtain employer identification numbers for tax purposes from IRS secure database.
  • Draft Assignment and Assumption Agreements, and other corporate documents.

 

CORPORATE TRANSACTIONS

  • Obtain information and file documents necessary to qualify corporation to transact business in foreign states.
  • Prepare Assumed Name Filings and Dissolution Certificates which would include orchestrating final tax information.
  • Obtain Good Standing Certificates directly from Department of State.
  • Order, analyze and prepare matrix of UCC, judgment, lien and bankruptcy search results.
  • Handle various SEC Form D filings with attorneys.
  • Perform Lexis background searches on individuals and companies.
  • Online research to obtain information on various corporations.
  • Proof and compare documents received from opposing counsel.
  • Responsible for handling all corporate department audit information requests.
  • Handle Private Investigator licensing applications.

 

REAL ESTATE

  • Preparation of real estate transfer documents, including TP-584, RP-5217, Deeds, NYC forms.
  • Preparation of leases and powers of attorney.

 

BANKRUPTCY

  • Daily Pacer access to review dockets and compile various bankruptcy reports and other updates from all national Courts.
  • Preparation and electronic case filing of various Notices of Appearance, Proofs of Claim, Reaffirmation Agreements, Motions, Voluntary and Involuntary Bankruptcy petitions and all schedules in many State bankruptcy courts.

 

Requirements:

  • At least 1 year of relevant experience
  • Excellent organizational and follow-up skills
  • Ability to handle multiple time-sensitive tasks
  • Keen attention to detail
  • Proficient in Lexis, Westlaw, Microsoft Word, Excel and ADOBE Acrobat / KOFAX Professional
  • Bachelor’s degree and/or Paralegal Certificate.
