Location Stamford, CT – Hybrid in a vibrant business hub within the greater New York metro area, offering an easy commute from top Fairfield County and Westchester communities.

Note To be considered, you must have 3+ years of corporate transactional experience with meaningful exposure to mergers and acquisitions, strong drafting skills, and admission (or eligibility for admission) to at least one U.S. state bar.

  • Serve as a key mid-level team member on mergers and acquisitions transactions, from LOI/term sheets through closing and post-closing matters.
  • Draft, review, and negotiate purchase agreements, merger agreements, disclosure schedules, ancillary documents, and corporate governance materials.
  • Support private equity and strategic buyers and sellers on add-on acquisitions, carve-outs, and other complex transactions.
  • Handle general corporate and commercial matters, including entity formation, operating agreements, shareholder agreements, and routine corporate housekeeping.
  • Coordinate and lead due diligence efforts, synthesize findings, and help develop practical risk-mitigation and deal-structuring solutions.
  • Work closely with partners and clients to manage deal timelines, communicate issues, and keep transactions moving efficiently to closing.
  • Collaborate with colleagues across related practice areas (funds, finance, tax, litigation) to deliver integrated, business-focused advice.

Qualifications

  • JD from an accredited law school with strong academic credentials.
  • 3+ years of corporate transactional experience at a law firm; prior experience as a mid-level corporate/M&A associate strongly preferred.
  • Significant experience working on M&A deals (buy-side and/or sell-side), including drafting core deal documents.
  • Solid grounding in general corporate law, entity structures, and governance.
  • Strong drafting, negotiation, and analytical skills, with excellent attention to detail and judgment.
  • Admission to at least one U.S. state bar; ability to work from Stamford, CT on a regular basis.
  • Team-oriented mindset, business acumen, and comfort working directly with sophisticated clients.
