Position Responsibilities:

• Draft and negotiate purchase agreements, merger agreements, and entity governance documents (LLCs and LPs)
• Provide transactional support and strategic counsel to private equity clients
• Manage deal processes, coordinate with business teams, and oversee transaction execution
• Work in a collaborative, fast-paced environment, supporting complex private equity transactions
• Serve as a key advisor on structuring fund and portfolio company investments

Qualifications:

• 4-5 years of experience in private equity and M&A transactions at a leading law firm
• Strong drafting, analytical, and negotiation skills
• Excellent organizational, project management, and leadership abilities
