Our client, a prestigious global AmLaw 50 law firm, is seeking a skilled Asset Finance & Securitization Associate Attorney to join their dynamic Global Finance group. This team represents a diverse range of market participants—including issuers, borrowers, hedge funds, credit funds, banks, and underwriters—in structuring innovative asset finance and securitization transactions. With top rankings in Chambers and Partners and The Legal 500 US, this practice is at the forefront of the structured finance industry.

 

Candidate Profile:

  • JD from a top-tier law school with a strong academic record.
  • Active Bar Admission in the relevant jurisdiction.
  • 2–5 years of substantive experience in structured finance, asset-backed securities, or securitization transactions.
  • Experience with transactions involving assets such as solar loans, mineral rights, royalties, marketplace loans, credit card receivables, auto loans and leases, mortgages, single-family rental properties, timeshares, or trade receivables preferred.
  • Strong drafting, negotiation, and analytical skills, with the ability to work on complex financing structures.
  • Large law firm experience strongly preferred.

 

Key Responsibilities:

  • Advise clients on a broad range of asset finance and securitization transactions.

  • Structure, draft, and negotiate transaction documents, including securitization agreements and other financing instruments.

  • Conduct due diligence and provide regulatory guidance on structured finance transactions.

  • Collaborate with cross-functional teams, including tax, corporate, and regulatory attorneys, to support complex financings.

  • Manage relationships with a sophisticated client base, including financial institutions, investment funds, and other key market participants.
