Our client, a reputable and growing Austin area law firm, is looking to hire an experienced Corporate Paralegal/Legal Assistant on a full time basis. This firm is located in Downtown Austin and this position is in the office daily. The Corporate Paralegal will assist various attorneys and clients with all facets of corporate law including, but not limited to, venture capital financings, mergers and acquisitions, tech transactions, and general corporate matters.
General Qualifications
- Paralegal Certificate from an ABA-approved program or equivalent degree/experience required, with a Bachelor’s degree preferred
- Minimum of 3-5 years of experience as a corporate/securities paralegal in a law firm or in-house legal department
- Exceptional organizational skills and meticulous attention to detail and accuracy 
Experience Requirements
Assisting with:
- general corporate governance matters, including maintaining corporate records and minute books
- corporate transactions, including mergers, acquisitions, debt/equity financing and reorganizations
- due diligence efforts, including the collection, organization and review of corporate documents and preparation of data rooms
- transaction closings, including drafting closing checklists, certificates and post-closing organizational steps
Drafting, preparing and filing:
- entity formation, qualification, merger and dissolution filings
- organizational documents, including operating agreements and bylaws
- consents, resolutions, meeting minutes, annual reports and statements of information
- private securities compliance documents, including Form D filings and Blue Sky filings
Technical Requirements
- High proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, etc.)
- Experience with and proficiency in an equity management platform, specifically CARTA, to manage, track, and administer company capitalization tables, stock options, and other equity grants
