Our client, a dynamic and rapidly expanding law firm based in Houston, is seeking a highly motivated and skilled Associate Attorney to join their Corporate/Business Transactions Team. This is a unique opportunity to work with a dedicated team of legal professionals on a broad range of corporate and transactional matters. The ideal candidate will be a proactive, detail-oriented attorney with a strong background in mergers and acquisitions (M&A), due diligence, and contract drafting, and a desire to contribute to the firm's continued growth and success.
Key Responsibilities:As an Associate Attorney in the Corporate/Business Transactions Team, you will be responsible for the following:
M&A Transactions: Assist senior attorneys in all aspects of mergers and acquisitions, including conducting legal research, drafting and negotiating transaction documents, and ensuring compliance with relevant laws and regulations.
Due Diligence: Perform comprehensive due diligence on potential acquisition targets, including reviewing corporate records, contracts, intellectual property, and employment matters, and summarizing findings for clients.
Contract Drafting and Negotiation: Draft, review, and negotiate a variety of business contracts including purchase agreements, shareholder agreements, non-disclosure agreements, joint ventures, and licensing agreements.
Client Interaction: Serve as a key point of contact for clients, providing clear and concise legal advice, and keeping them informed throughout the course of transactions and legal processes.
Legal Research: Conduct in-depth legal research on issues related to corporate governance, securities laws, antitrust, and other transactional matters.
Transaction Structuring: Assist in structuring and analyzing complex corporate transactions to minimize risk and maximize client benefits.
Collaboration: Work closely with senior attorneys and clients to ensure that all aspects of the transaction are thoroughly addressed and that legal issues are proactively resolved.
Legal Compliance: Advise clients on legal and regulatory compliance related to corporate governance, securities, antitrust law, and other relevant areas of business law.
Document Preparation: Prepare and review corporate formation documents, resolutions, and other legal documents related to business formations and corporate restructuring.
Continuous Professional Development: Stay current on developments in corporate law and business transactions to provide high-quality service to clients and support the firm’s success.
Qualifications:
A J.D. from an accredited law school.
At least 2 years of experience as a licensed attorney, with a focus on corporate or transactional law.
Active membership in the Texas State Bar.
Strong analytical, research, and writing skills.
Excellent communication and interpersonal skills, with the ability to effectively interact with clients, opposing counsel, and other stakeholders.
Demonstrated experience in M&A transactions, due diligence, and drafting complex business contracts.
Ability to work independently, manage multiple priorities, and collaborate effectively in a team environment.
