Our client, a prominent AmLaw 50 law firm, is seeking a well-rounded junior to mid-level Tax Associate Attorney to join its nationally-recognized Taxation Practice Group in Boston, New York, or Washington, DC. This is a compelling opportunity for a motivated attorney to build a sophisticated practice focused on fund formation, investment management, and transactional tax matters at the intersection of finance, private equity, and corporate law.
JD from a top ABA-accredited law school with a strong academic record.
Active Bar Admission in the relevant jurisdiction.
2–3 years of substantive experience in tax law, with a focus on fund formation, partnership taxation, and investment management transactions.
Experience advising on mergers, acquisitions, and divestitures, including buyer- and seller-side tax structuring.
Familiarity with tax considerations in entity formation, choice of entity planning, and LLC agreements.
Strong drafting, research, and analytical skills, with the ability to manage multiple complex assignments.
A team-oriented mindset with a strong work ethic, attention to detail, and a desire to develop client-facing responsibilities early in your career.
Prior AmLaw 100 experience is strongly preferred.
Advise private equity funds, asset managers, and other investment entities on tax structuring for fund formation and operations.
Provide tax analysis and support on a wide range of transactions, including mergers, acquisitions, and internal restructurings.
Draft and review tax provisions in partnership agreements, LLC operating agreements, and transactional documents.
Collaborate with attorneys across corporate, private equity, and finance teams on cross-disciplinary matters.
Conduct research and provide written and verbal guidance on federal income tax matters relevant to clients’ strategic business decisions.
