A leading AmLaw 100 firm is seeking a talented and motivated Associate Attorney to join its highly-regarded Corporate Transactions Practice Group in Wilmington. JD from a top-tier law school with a strong academic record.
Active Bar Admission in Delaware, in good standing.
2+ years of substantive experience in corporate and commercial transactions.
Experience in debt and equity finance, venture capital financings, mergers and acquisitions, and entity formation and governance.
Ability to manage deals independently and interface directly with clients.
Strong drafting, negotiation, and organizational skills.
Proven ability to work collaboratively in a fast-paced, team-oriented environment.
Structure, negotiate, and manage corporate and commercial transactions, including mergers, acquisitions, equity investments, and financings.
Advise clients on corporate governance matters and entity formation.
Draft and review a wide range of transactional documents, including operating agreements, shareholder agreements, and financing documents.
Collaborate with partners and senior associates on deal strategy and execution.
Build and maintain strong, trusted client relationships through excellent service and attention to detail.

Competitive Compensation: Includes an annual salary range of $215,000 – $275,000, determined by experience and market factors, along with eligibility for discretionary bonuses.
