A top-10 AmLaw firm is seeking a seasoned and business-savvy Securities Of Counsel to join its Investment Funds Group. This role offers a dynamic opportunity to advise on complex securities and real estate finance matters across a national platform, with flexibility to work from several office locations.

Candidate Profile

• JD from a top-tier law school with an excellent academic record.
• Active Bar Admission in the relevant jurisdiction, in good standing.
• 6+ years of substantive experience managing structured securities offerings.
• Securities Expertise: Strong background in structured securities offerings, particularly within the commercial real estate sector.
• Real Estate Focus: Significant experience advising public and private real estate companies, REITs, and institutional investors on acquisitions, dispositions, restructurings, complex financings, and real estate development.
• AmLaw Experience: Relevant experience at an AmLaw 100 firm is strongly preferred.
• Soft Skills: Excellent analytical and writing skills, business acumen, attention to detail, and the ability to work independently as well as collaboratively.

Key Responsibilities

• Lead Transactions: Serve as a primary advisor on complex securities matters and real estate transactions for a wide array of sophisticated clients.
• Manage Complexity: Oversee the structuring, documentation, and execution of securities offerings and related transactions, often with significant real estate components.
• Client Engagement: Interface with a diverse client base, including REITs and institutional investors, delivering strategic legal counsel aligned with business goals.
• Team Collaboration: Work closely with attorneys across the firm’s practice groups, contributing to a collaborative and high-performing legal team.

Compensation & Benefits

• Competitive Compensation: Annual base salary is expected to range from $310,000 – $550,000, depending on experience, qualifications, and market factors. Discretionary bonus opportunities are also available.
