A leading AmLaw 100 firm is seeking a talented and motivated Corporate Associate Attorney to join its Philadelphia office. This is an exciting opportunity to work on sophisticated corporate transactions, including M&A, securities, and private equity matters, within a collaborative and well-regarded national practice.
JD from a top-tier law school with a strong academic record.
Active Bar Admission in Pennsylvania, in good standing, or the ability to become PA barred.
3–6 years of substantive experience in corporate transactional matters.
Demonstrated experience in mergers and acquisitions, securities offerings, and/or venture capital and private equity transactions.
Strong legal research, writing, and communication skills.
Ability to manage components of complex transactions independently and interface directly with clients.
Team-oriented mindset with a strong attention to detail and a commitment to client service.
Advise clients on a range of corporate matters, including business formations, governance, and compliance.
Lead or support transactional work including mergers, acquisitions, financings, and equity investments.
Draft and negotiate key corporate documents such as stock purchase agreements, operating agreements, and disclosure schedules.
Collaborate with partners and cross-practice teams to ensure timely, strategic execution of deals.
Provide ongoing support to clients, including entrepreneurs, startups, and established businesses, on general corporate issues and regulatory matters.

Competitive Compensation: Includes an annual salary range of $250,000 – $310,000, determined by experience and market factors, along with eligibility for discretionary bonuses.
