CORPORATE ASSOCIATE ATTORNEY

Location: Philadelphia, PAHYBRID

A leading AmLaw 100 firm is seeking a talented and motivated Corporate Associate Attorney to join its Philadelphia office. This is an exciting opportunity to work on sophisticated corporate transactions, including M&A, securities, and private equity matters, within a collaborative and well-regarded national practice.

Candidate Profile:

• JD from a top-tier law school with a strong academic record.

• Active Bar Admission in Pennsylvania, in good standing, or the ability to become PA barred.

• 3–6 years of substantive experience in corporate transactional matters.

• Demonstrated experience in mergers and acquisitions, securities offerings, and/or venture capital and private equity transactions.

• Strong legal research, writing, and communication skills.

• Ability to manage components of complex transactions independently and interface directly with clients.

• Team-oriented mindset with a strong attention to detail and a commitment to client service.

Key Responsibilities:

• Advise clients on a range of corporate matters, including business formations, governance, and compliance.

• Lead or support transactional work including mergers, acquisitions, financings, and equity investments.

• Draft and negotiate key corporate documents such as stock purchase agreements, operating agreements, and disclosure schedules.

• Collaborate with partners and cross-practice teams to ensure timely, strategic execution of deals.

• Provide ongoing support to clients, including entrepreneurs, startups, and established businesses, on general corporate issues and regulatory matters.

Compensation & Benefits:

Competitive Compensation: Includes an annual salary range of $250,000 – $310,000, determined by experience and market factors, along with eligibility for discretionary bonuses.
