A leading AmLaw 50 firm is seeking a driven Associate Attorney to join its leading Corporate Practice Group, focusing on public companies and capital markets matters. This is a dynamic opportunity to work with an expansive client base of innovative technology and life sciences companies on high-impact transactions and complex regulatory issues.
Candidate Profile

JD from a top-tier law school with an excellent academic record.

Active Bar Admission in the relevant jurisdiction, in good standing.

4–6 years of substantive experience advising public companies on SEC reporting and compliance, corporate governance, and related regulatory matters.
- Demonstrated experience representing issuers and/or investment banks in capital markets transactions, including IPOs, equity and debt offerings, private investment in public entities, and at-the-market offerings.
- Familiarity with Nasdaq and NYSE listing rules and public company disclosure requirements.
- Experience advising technology and/or life sciences clients is strongly preferred.
- Excellent communication, drafting, and analytical skills.
- Ability to manage multiple workstreams and deadlines in a fast-paced, collaborative environment.
Key Responsibilities

Advise public company clients on ongoing SEC reporting obligations, governance practices, and compliance with federal securities laws and stock exchange regulations.

Represent issuers and investment banks in a wide range of capital markets transactions, including public offerings, private placements, and follow-on offerings.

Draft and review registration statements, prospectuses, offering memoranda, and other securities filings.

Provide counsel on disclosure issues, proxy statements, shareholder engagement, and board governance matters.
- Work closely with emerging and mature companies in the technology and life sciences sectors.
- Collaborate with internal teams and clients on legal strategies and business objectives.

Compensation & Benefits

Competitive Salary: $310,000 – $390,000, commensurate with experience.
- Discretionary merit bonus eligibility.
