Our client, a prominent Amlaw 50 global law firm, is seeking a talented Managing Associate Attorney to join its prominent Mergers & Acquisitions (M&A) and Private Equity Practice. This position offers the opportunity to work on sophisticated domestic and cross-border deals, including strategic M&A, private equity transactions, joint ventures, and related corporate matters. The team is known for its collaborative culture, high deal volume, and strong commitment to training and professional development.

Candidate Profile

• JD from a top-tier law school with an excellent academic record
• Active Bar Admission in California, in good standing
• 4–6 years of substantive experience with M&A and/or private equity at a law firm of comparable rank
• Experience drafting and negotiating complex transaction documents
• Strong understanding of corporate governance, deal structures, and due diligence
• Exceptional verbal, written, and interpersonal communication skills
• Highly motivated and able to manage multiple workstreams in a fast-paced environment
• Ability to work collaboratively with partners, clients, and cross-functional teams

Key Responsibilities

• Advise clients on a broad range of M&A and private equity transactions
• Draft, negotiate, and review purchase agreements, ancillary documents, and corporate governance materials
• Lead and support all stages of deal execution, including diligence, documentation, and closing
• Coordinate with specialists across tax, finance, employment, and other relevant practice areas
• Manage junior team members and provide oversight on work product and workflow
• Work directly with clients to assess risks, structure transactions, and deliver strategic solutions
• Engage with partners and teams across offices on multi-jurisdictional transactions
