Our client, a prestigious Amlaw 50 firm, is seeking a talented Associate Attorney to join their distinguished Mergers and Acquisitions (M&A) and Private Equity Practice in New York, San Francisco, or Orange County. This is an excellent opportunity to work on some of the most high-profile and complex transactions across a range of industries within a top-ranked practice that is consistently recognized for its M&A deal activity globally.

 

 

Candidate Profile

  • JD from a top-tier law school with a strong academic record.

  • Active Bar Admission in California or New York, in good standing.

  • 5–6 years of substantive experience in M&A at a leading law firm.

  • M&A and Private Equity Focus: Robust experience advising public and private companies on complex M&A and private equity transactions, including both sell-side and buy-side deals.

  • Client Engagement: Demonstrated ability to manage client relationships, including direct communication with general counsel, executives, and other stakeholders.

  • Deal Execution: High proficiency in managing deals from inception through closing with limited supervision.

  • Thrive in a fast-paced, team-oriented environment and enjoy working closely with clients and colleagues.
  • Soft Skills: Superior verbal and written communication, drafting, negotiation, and analytical skills are essential.

 

 

Key Responsibilities

  • Lead and Support Transactions: Manage and support all aspects of M&A and private equity transactions, including due diligence, drafting key transaction documents, and facilitating closings.

  • Strategic Counsel: Serve as a trusted advisor to clients on structuring, risk analysis, and negotiation strategy.

  • Team Leadership: Mentor and supervise junior associates and collaborate with partners and senior attorneys to ensure the seamless execution of complex deals.

  • Cross-Functional Coordination: Coordinate with specialists in tax, antitrust, employment, intellectual property, and other areas to address deal-specific issues.

  • Business Development: Assist in the preparation of client presentations, pitch materials, and participation in networking opportunities to support practice growth.

Compensation & Benefits

  • Competitive Compensation: Includes an annual salary range of $365,000–$390,000, depending on experience and market factors, and eligibility for a discretionary bonus.
