A leading AmLaw 100 firm is seeking a talented and motivated mid-level M&A Corporate Associate Attorney to join its Baltimore office. This is an exciting opportunity to work on sophisticated corporate transactions, including mergers and acquisitions (M&A), finance, and private equity matters, for leaders in the software, telecommunications, healthcare, biotechnology, financial services, and cannabis industries.
Candidate Profile
JD from a top-tier law school with a strong academic record.
Active Bar Admission in Maryland, in good standing, or the ability to become MD barred.
3–6 years of substantive experience in corporate transactional matters, preferably at a large law firm.
Demonstrated experience in mergers and acquisitions, finance and private equity transactions.
Ability to manage components of complex transactions independently and interface directly with clients.
Team-oriented mindset with a strong attention to detail and a commitment to client service.
Key Responsibilities
Advise investment funds and their portfolio companies on a range of corporate M&A matters.
Lead or support transactional work including mergers, acquisitions, financings, and equity investments.
Draft and negotiate key corporate documents such as stock purchase agreements, operating agreements, and disclosure schedules.
Counsel clients in the software, telecommunications, health care and biotech, financial services and cannabis industries.
Collaborate with partners and cross-practice teams to ensure timely, strategic execution of deals.
Provide ongoing support to clients on general corporate issues and regulatory matters.

Compensation & Benefits
Competitive Compensation: Includes an annual salary range of $250,000 – $345,000, determined by experience and market factors, along with eligibility for discretionary bonuses and incentive packages.
