CORPORATE ASSOCIATE ATTORNEY

 

Location: Baltimore, MDHYBRID

 

 

A leading AmLaw 100 firm is seeking a talented and motivated mid-level M&A Corporate Associate Attorney to join its Baltimore office. This is an exciting opportunity to work on sophisticated corporate transactions, including mergers and acquisitions (M&A), finance, and private equity matters, for leaders in the software, telecommunications, healthcare, biotechnology, financial services, and cannabis industries.

 

 

Candidate Profile

  • JD from a top-tier law school with a strong academic record.

  • Active Bar Admission in Maryland, in good standing, or the ability to become MD barred.

  • 3–6 years of substantive experience in corporate transactional matters, preferably at a large law firm.

  • Demonstrated experience in mergers and acquisitions, finance and private equity transactions.

  • Ability to manage components of complex transactions independently and interface directly with clients.

  • Team-oriented mindset with a strong attention to detail and a commitment to client service.

  • Soft Skills: Strong legal research, writing, and communication skills, as well as excellent business acumen, are essential.
 

 

Key Responsibilities

  • Advise investment funds and their portfolio companies on a range of corporate M&A matters.

  • Lead or support transactional work including mergers, acquisitions, financings, and equity investments.

  • Draft and negotiate key corporate documents such as stock purchase agreements, operating agreements, and disclosure schedules.

  • Counsel clients in the software, telecommunications, health care and biotech, financial services and cannabis industries.

  • Collaborate with partners and cross-practice teams to ensure timely, strategic execution of deals.

  • Provide ongoing support to clients on general corporate issues and regulatory matters.

Compensation & Benefits

Competitive Compensation: Includes an annual salary range of $250,000 – $345,000, determined by experience and market factors, along with eligibility for discretionary bonuses and incentive packages.
